Practice Description

Vivienne R. (Lie) Schiffer counsels clients in mergers, acquisitions, and dispositions of businesses; private equity financing; the formation and organization of business entities; corporate governance; and private and public securities offerings. In addition, Ms. Schiffer provides general legal advice for the power generation and engineering services industries, and compliance advice for the Foreign Corrupt Practices Act.

Representations

  • Represented buyer in the purchase of Colombia's largest petrochemical company in a transaction valued in excess of $690 million

  • Represented a private equity fund in connection with investments in energy-related companies, with aggregate capital commitments of $100 million, $50 million, and $350 million, respectively

  • Represented a private equity fund in connection with an investment in an energy-related company with an aggregate capital commitment of $75 million

  • Represented seller in the sale of assets to an international oil services contractor

  • Acted as chief legal officer for U.S. and Canadian subsidiaries of a global EPC and engineering services company; responsibilities included mergers and acquisitions, corporate governance and corporate secretarial, advice to boards of directors, executive and operational management, and legal compliance
